The wholly owned subsidiaries of PGC, MARAC and Perpetual operate as autonomous companies with their own boards. The boards of these companies comprise the same directors as PGC.
Bruce Irvine

Bruce Irvine was appointed to the PGC board in 2003 and became Chaiman in 2009. He is also Chairman of the MARAC board. He is Chairman of the Audit Committee, and a member of the remuneration and appointment commitee.
Bruce is a professional director.
Bryan Mogridge
Independent Director
BSc
Bryan Mogridge was appointed to the PGC board in 2003. He has been a director of the MARAC board since 1992 and is also Chairman of the Perpetual Group board. He is a member of the Audit, Risk, and Remuneration and Appointments Committees.
Bryan has many years’ experience in chief executive and senior management positions, along with governance experience as a director of NZSX-listed companies since 1984.
Jeff Greenslade
Chief Executive Officer (Non Independent Director)
Jeff joined Pyne Gould Corporation and MARAC as Chief Executive Officer in 2009, and is responsible for the strategy and operational delivery of both businesses. He was appointed to the board in December 2009.
Jeff brings to this position 20 years experience as a senior executive in the ANZ National Banking Group, where he last held the position of Managing Director of Corporate and Commercial Banking for ANZ National Bank. From 2003 until May 2008 he spent time on the board of UDC Finance. Jeff has also held a number of senior positions in the Institutional and Capital Markets areas of the National Bank of New Zealand and its subsidiary Southpac.
George Kerr
Non Independent Director
George Kerr was appointed to the Board in August 2008. George is a director of Perpetual Group and a member of the Remuneration and Appointments Committee.
He has spent his entire career in financial services and previously was Chairman of Brook Asset Management and Executive Director at Sterling Grace Portfolio Management.
George Gould
Independent Director
George was previously a director of PGC from 1990 to 2004. He was Managing Director of Pyne Gould Guinness and led the merger with Reid Farmers and was Managing Director of South Eastern Utilities from 1994 to 2001. He is also a member of the Audit Committee.
He has extensive experience in the financial and rural services sectors and like George Kerr, George Gould is also a descendent of one of the founding families of PGC.
